TERMS OF SALE: Velocity Washer®

1. Velocity Bolting’s warranty for the Velocity Washer (“Product”) is as follows: THE PRODUCT IS INTENDED FOR USE IN A SINGLE INSTALLATION, ANY REINSTALLATION OR SECOND USE OF ANY COMPONENT OF THE PRODUCT VOIDS THIS WARRANTY. For a period of twelve (12) months from the date of installation, each Product is warranted against defects related to manufacturing, workmanship, materials , design and marketing, and each Product shall be suitable and capable of fulfilling its intended purpose , so long as: (a) it is installed in accordance with Velocity Bolting instructions, which can be located on Velocity Bolting’s website (velocitybolting.com); and (b) it is used in a manner which is consistent with its intended purpose. In the event of a proven manufacturing defect, the sole remedy available to any purchaser of the Product, whether distributor, reseller, or end user of the Product, is the replacement of the defective Product. If the replacement of the Product, is not practical for Velocity Bolting or the affected purchaser of the Product, Velocity Bolting will issue a refund or credit of the purchase price paid by said affected purchaser. The aforementioned warranty does not extend to and expressly excludes losses or damages resulting from conditions beyond Velocity Bolting’s control, including, without limitation, alteration, misuse, abuse, failure to install or use in accordance with instructions, and wear and tear expected to occur during normal use. The foregoing are the only product warranty rights provided by Velocity Bolting and, except as expressly set forth above, Velocity Bolting disclaims all representations and warranties, express or implied, with respect to the Product, whether alleged to arise by law, by reason of custom, or usage in trade, or by course or dealing. No Supplier or reseller of the Product is authorized to alter the foregoing warranty. Under no circumstances shall Velocity Bolting be liable for damages for any reason (whether under legal theory of contract, tort, negligence, strict liability, operation of law or otherwise), that are not direct damages or exceed the purchase price and end user out-of- pocket costs, if any, in respect of any Product which is proven to be defective. Under no circumstance will purchaser be entitled to claim punitive, special, indirect or consequential damages from Velocity Bolting.

2. Velocity Bolting warrants that all delivered Products are free of all liens, encumbrances, and other defects of title. The risk of loss shall pass to any purchaser of the Products under the applicable delivery terms of the P.O. between Seller and the first purchaser of the Products from Velocity Bolting, regardless of whether that is a distributor, other re-seller, or end-user.

3. The law governing these Terms of Sale shall be the laws of the Province of British Columbia, Canada and the laws of Canada applicable therein. Any disputes related to these Terms of Sale shall be brought in the federal or provincial courts in Vancouver, British Columbia, Canada.
